TDC consortium now hold acceptances for more than 90 per cent of the shares
Announcement of further acceptances for sale of additional TDC shares - the Consortium now hold acceptances for shares representing more than 90 per cent of the entire share capital and voting rights in TDC excluding treasury shares
COPENHAGEN - DK Telekommunikation ApS, a company controlled by a consortium of experienced, long-term investors including PFA, PKA, ATP and Macquarie Infrastructure and Real Assets ("MIRA") (as described in more detail below, the "Consortium"), announced on 9 April 2018 the final result of a voluntary recommended public cash offer (the "Offer") to the shareholders of TDC A/S ("TDC").
Following dialogue with a number of investors, the Offeror will upon settlement hold more than 90
per cent of the entire share capital and voting rights in TDC excluding TDC's treasury shares.
Settlement The Offer and the additional shares to be acquired outside the Offer will be settled in cash through the selling shareholders' own accounting holding institution no later than 18 business days after today on 4 May 2018.
Compulsory redemption and removal from trading and official listing on Nasdaq Copenhagen A/S
Subject to settlement of the Offer in accordance with the conditions therein, the Consortium intends
to exercise its rights under the Danish Companies Act to complete a compulsory redemption of the
shares in TDC held by remaining minority shareholders and to request TDC to submit an application for removal from trading and official listing of the shares of TDC from Nasdaq Copenhagen A/S.
The exact timing for the compulsory redemption will be announced in connection with and subject to settlement, however the Consortium intends to initiate the compulsory redemption as soon as
possible after settlement on 4 May 2018 with the last day of trading and official listing to be
determined and announced.

About the Consortium
The Consortium consists of PFA Pension Forsikringsaktieselskab ("PFA"), PKA A/S ("PKA"), acting on behalf of PKA Pension Funds, Arbejdsmarkedets Tillægspension ("ATP") and DKTUK Limited
("MIRACo") an entity managed by Macquarie Infrastructure & Real Assets (Europe) Limited
